GENERAL TERMS & CONDITIONS
The General Terms and Conditions of Sale, hereinafter referred to as the "General Terms and Conditions", apply to all orders placed with Trinitus BVBA, with its registered office at Hertshage 10 box 2, 9300 Aalst - Belgium, hereinafter referred to as "Komorebi eyewear". These General Terms and Conditions constitute the agreement between the seller and the Customer, hereinafter jointly referred to as the “Parties”. The "Customer" is any natural or legal person who or which orders products from Komorebi eyewear. The General Terms and Conditions are available on the Komorebi eyewear website: www.komorebi.be at all times, so that on placing an order the Customer must declare to have read the General Terms and Conditions and confirm his, her or its acceptance of the rights and obligations arising from them.
Invoices are payable in the currency of the invoice at the registered office of the seller no later than 30 days after the invoice date, unless otherwise stipulated on the invoice. Any dispute relating to an invoice must be sent by registered mail to the seller's registered office within eight days of having received the invoice. Failing this, the Customer shall no longer be able to contest the invoice. Invoices paid by the Customer to Komorebi eyewear may in no way whatsoever be recovered. In the event of late payment, interest for late payment of 10% per year shall, by operation of law and without notice of default, be due and payable. In addition, a fixed indemnity of 10% shall be due on the unpaid balance, with a minimum of EUR 75. All possible disputes shall, failing reconciliation, be settled by the competent courts of the judicial district of East Flanders.
Komorebi eyewear aims to deliver the order no later than three months after the date of order. Should Komorebi eyewear determine that this deadline cannot be met, it shall inform the customer no later than 14 days prior to the scheduled delivery date. The Customer may under no circumstances invoke the failure to meet the set delivery dates to claim damages or to terminate the contract. Each delivery is sent via TNT and will be handed over to the customer after signing receipt. Shipments always occur under incoterms DDU (Delivered Duty Unpaid - Franco exclusive rights)
The customer may place additional orders using the website’s link at any time.
The customer may only sell the received collection at the point of sale as determined at the time of purchase. The point of sale corresponds to the delivery address. The collection may not be sold online by the customer. Komorebi eyewear reserves the right to sell its collections online.
The customer shall be provided with the opportunity to return individual frames that have not been sold to Komorebi eyewear, up to two years after the date on which a collection was purchased. Komorebi eyewear shall reclaim these unsold frames on the condition that the customer place a new order of at least double the number of returned frames. The reclaimed frames shall be settled on placement of the new order and with the invoice corresponding thereto.
On concluding the order and/or order form the customer declares its consent to the potential creation of digital material (photographs, camera images) during the cooperation, which consequently may be used by Komorebi eyewear for commercial purposes and distributed via the website, Facebook or Instagram. In the event that individualised images of the Customer are made, the Customer has the right to view these images at any time, and to oppose their use and distribution for commercial purposes.
Intellectual property rights:
The information, logos, drawings, brands, models, slogans, house style, etc. accessible via the seller's website or catalogue are protected by intellectual property rights. Unless expressly agreed otherwise in advance, the Customer may not modify, reproduce, lease, lend, sell, distribute or create derivative works based on all or part of the elements depicted on the seller's website or catalogue.
